1. Agreement
These Terms of Service (“Terms”) govern access to and use of Effitrux, including its website, mobile applications, web application, software, tools, calculations, document generators, data, content and related services collectively referred to as the “Service”.
The Service is provided by:
Effitrux
(“Effitrux”, “we”, “us”, “our”).
By creating an account, purchasing a subscription or otherwise using the Service, you agree to these Terms.
If you do not agree, you must not use the Service.
2. Eligibility
You may use Effitrux as:
a business or professional user; or
an individual consumer where permitted.
You must have legal capacity to enter into these Terms or have all legally required authority to do so.
If you use Effitrux on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3. Description of the Service
Effitrux provides software tools intended to assist with transport-related calculations, organisation, business administration and related workflows.
Features may include, without limitation:
transport cost calculations;
profitability calculations;
tariff calculations;
FTL and LTL tools;
quotations;
invoices;
document generation;
contract templates;
customer, route and vehicle information;
payroll and workforce tools;
dashboards;
KPIs;
cost structures;
cloud synchronisation;
fuel and toll information;
market information;
analytics;
alerts;
administrative tools;
and other functionality introduced from time to time.
Availability of individual features may depend on platform, subscription, country, language, account status or technical availability.
4. Effitrux Is a Software Tool — No Professional Advice
Effitrux is a software and information tool.
Effitrux does not provide:
legal advice;
tax advice;
accounting advice;
financial advice;
investment advice;
insurance advice;
employment or labour-law advice;
payroll advice;
transport-law advice;
regulatory advice;
customs advice;
business advice;
professional freight-forwarding services;
transport services;
or other regulated professional services.
Information, calculations, alerts, examples, templates, recommendations, indicators and outputs available through Effitrux are provided as tools to assist the user and must not be treated as a substitute for independent professional judgment or advice.
The User is solely and exclusively responsible for all business, commercial, financial, legal, tax, operational and other decisions made using or in reliance upon the Service.
Where appropriate, users should consult qualified legal, tax, accounting, financial, transport or other professional advisers.
5. User Inputs — Sole Responsibility of User
Effitrux calculations depend substantially upon information supplied or selected by the user.
The User is solely responsible for the completeness, legality, accuracy, timeliness and suitability of all information entered, imported, selected, configured or otherwise supplied to Effitrux.
This includes, without limitation:
fuel prices;
fuel consumption;
salaries;
driver costs;
depreciation;
financing costs;
maintenance;
tyres;
insurance;
tolls;
taxes;
distances;
working time;
vehicle information;
margins;
costs;
customer information;
routes;
payment terms;
tax information;
cargo information;
operational assumptions.
Effitrux has no obligation to independently verify user inputs.
An output generated from inaccurate, incomplete or inappropriate inputs may itself be inaccurate.
6. Calculations and Estimates
All calculations, including costs, prices, profitability, margins, tariffs, payroll calculations, LTL calculations and similar outputs, are estimates generated from:
user-provided data;
configured parameters;
mathematical formulas;
assumptions;
software logic;
and, where applicable, third-party data.
Actual results may differ.
Effitrux does not warrant or guarantee that any calculated:
cost;
price;
margin;
profit;
distance;
toll;
fuel cost;
salary;
tax;
charge;
tariff;
or other figure
will correspond to an actual transaction or legal, accounting or commercial outcome.
Users must independently verify calculations before using them for material business decisions.
7. Profitability and Business Decisions
Any profitability figure, pricing suggestion, required rate, cost-per-kilometre calculation, margin calculation or similar output is informational.
Effitrux does not guarantee that a transaction will be profitable.
Actual profitability may be affected by circumstances not known to or modelled by Effitrux, including:
route changes;
delays;
waiting time;
fuel-price changes;
additional kilometres;
empty kilometres;
vehicle breakdown;
fines;
toll changes;
exchange rates;
taxation;
labour costs;
cargo claims;
customer default;
market conditions;
regulatory requirements.
The decision whether to accept, reject, price or perform a transport or other business transaction belongs exclusively to the user.
8. Generated Documents
Effitrux may generate or assist in generating:
quotations;
invoices;
contracts;
reports;
templates;
exports;
and other documents.
The User is solely and exclusively responsible for reviewing, verifying and approving every generated document before issuing, signing, sending, relying upon or otherwise using it.
Effitrux does not warrant that generated documents:
satisfy legal requirements in any particular jurisdiction;
contain all mandatory information;
are suitable for a particular transaction;
comply with accounting or tax requirements;
constitute legally enforceable contracts;
comply with employment law;
comply with transport law;
comply with invoicing or e-invoicing requirements.
Templates are not legal advice.
The user should obtain professional review where necessary.
9. Laws and Regulatory Compliance
Users are solely responsible for determining and complying with laws applicable to their operations.
This includes, where applicable:
driving-time and rest rules;
working-time rules;
employment laws;
minimum wages;
posting-of-drivers requirements;
cabotage;
transport licences;
vehicle restrictions;
road charging;
taxation;
VAT;
customs;
cargo requirements;
dangerous goods;
sanctions;
insurance;
invoicing;
data protection.
The existence of an Effitrux feature relating to a regulated matter does not constitute a representation that use of that feature ensures compliance.
10. Third-Party Information
Effitrux may display, import, calculate from or otherwise use information obtained from third-party or public sources.
Examples may include:
fuel prices;
toll information;
road information;
maps;
routing;
exchange rates;
public datasets;
regulatory information;
external APIs.
Such information may be delayed, incomplete, inaccurate, unavailable or changed without notice.
Effitrux does not independently guarantee the accuracy, completeness or currentness of third-party information.
Users must verify material third-party information where accuracy is important to a decision.
11. Fuel Prices
Fuel-price information, where available, is informational.
Displayed values may represent national averages, medians, market references, public pump prices or other measurements and may not represent the price actually payable by a particular user.
Actual prices may vary by:
station;
location;
motorway;
supplier;
fuel card;
contractual discount;
tax treatment;
time;
fuel specification.
The user's actual fuel cost remains the user's responsibility.
12. Tolls, Routes and Distances
Toll, route and distance information may be calculated or supplied using third-party information.
Actual toll liability may depend upon factors including:
route actually travelled;
vehicle category;
weight;
axles;
emissions class;
CO₂ class;
trailer;
time;
road operator;
discounts;
toll devices;
exemptions;
national rules.
Effitrux does not guarantee that an estimated toll equals the amount ultimately charged by a toll authority or operator.
Users remain responsible for lawful route selection, toll payment and verification.
13. No Guarantee of Commercial Results
Effitrux does not guarantee:
increased revenue;
reduced costs;
increased profit;
customer acquisition;
transport availability;
savings;
productivity improvements;
regulatory compliance;
any specific financial or business result.
Past examples, simulations, illustrations or marketing materials do not constitute guarantees.
14. Accounts and Security
Users must provide accurate account information and maintain account security.
Users are responsible for:
safeguarding credentials;
securing their devices;
preventing unauthorised access;
activity performed through their account where attributable to their acts or omissions.
Users must notify Effitrux promptly of suspected unauthorised access.
Effitrux may implement authentication, device verification, OTP or other security mechanisms.
Users may not bypass such measures.
15. Subscriptions
Certain functionality requires a paid subscription.
Subscription pricing, billing interval and included functionality will be displayed before purchase.
Subscriptions may be monthly, annual or otherwise offered.
Applicable taxes may be added where required.
Purchases made through third-party platforms may additionally be subject to the platform's payment and subscription terms.
16. Free Trials
Effitrux may offer a free trial.
The currently advertised seven-day free trial does not require a payment card and does not automatically convert to a paid subscription. A future or platform-specific trial may use different terms only where those terms, including any payment requirement or automatic conversion, are clearly disclosed before activation or purchase.
Trial duration, eligibility and functionality may be limited.
Unless expressly stated otherwise:
one trial is permitted per eligible user/account;
attempts to obtain repeated trials through additional accounts or other circumvention may result in termination;
Effitrux may modify or discontinue promotional trial offers prospectively.
Where automatic conversion to a paid subscription applies, this will be disclosed before purchase as required by applicable law.
17. Renewals and Cancellation
Where a subscription renews automatically, the applicable renewal terms will be disclosed during purchase.
Users may cancel future renewal through the applicable account or platform controls.
Unless mandatory law provides otherwise, cancellation ordinarily prevents future renewal rather than retroactively cancelling service already supplied during a paid billing period.
Nothing in these Terms limits mandatory consumer cancellation, termination, refund or withdrawal rights.
18. Prices and Changes
Effitrux may change subscription prices prospectively.
Existing subscriptions will be handled according to applicable law, applicable platform requirements and the terms communicated to the user.
Material price changes will be communicated where legally required.
Promotional, founder, early-user, referral or other discounts may have separate eligibility rules and may be non-transferable and non-stackable.
19. Consumer Rights
If you are a consumer, mandatory consumer-protection law applicable to you remains unaffected.
Nothing in these Terms excludes, limits or waives rights that cannot lawfully be excluded, limited or waived.
20. Refunds
Refund eligibility is determined by:
applicable mandatory law;
the payment platform's applicable rules where relevant;
and any refund policy expressly offered by Effitrux.
Nothing in this section restricts mandatory statutory remedies.
21. User Content and Ownership
As between Effitrux and the user, the user retains ownership of original content and business data lawfully submitted by the user, subject to third-party rights.
The user grants Effitrux a limited, non-exclusive right to host, reproduce, process, transmit, format and otherwise use User Content only as reasonably necessary to:
provide the Service;
secure the Service;
comply with law;
enforce these Terms;
perform other processing expressly permitted by the Privacy Policy or applicable agreement.
The user represents that it has all rights and lawful authority necessary to provide User Content to Effitrux.
22. Confidential Business Information
Effitrux recognises that users may store commercially sensitive information.
Effitrux does not acquire ownership of such information merely because it is stored through the Service.
Except as permitted by these Terms, the Privacy Policy, a DPA or law, Effitrux will not intentionally disclose one user's confidential User Content to another user.
23. Intellectual Property
Effitrux and its licensors retain all rights in and to the Service, including:
software;
source code;
object code;
algorithms;
formulas as embodied in the software;
architecture;
interfaces;
databases;
designs;
graphics;
branding;
logos;
documentation;
original content;
trademarks;
trade names;
and other intellectual property.
Except as expressly permitted, users may not:
copy;
reproduce;
modify;
distribute;
sell;
sublicense;
reverse engineer;
decompile;
scrape;
systematically extract;
create derivative services from;
or commercially exploit
the Service or substantial portions of it.
Mandatory statutory rights that cannot lawfully be excluded remain unaffected.
24. Licence
Subject to these Terms and payment of applicable fees, Effitrux grants the user a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for its intended lawful purpose during the applicable entitlement period.
No ownership interest in Effitrux software is transferred.
25. Acceptable Use
Users must not use Effitrux to:
violate law;
infringe third-party rights;
process unlawfully obtained personal data;
distribute malware;
compromise security;
gain unauthorised access;
circumvent access restrictions;
interfere with infrastructure;
automate abusive requests;
scrape protected portions of the Service;
reverse engineer the Service except where expressly permitted by mandatory law;
impersonate others;
commit fraud;
use the Service for unlawful transport or other unlawful activities.
26. Suspension
Effitrux may suspend or restrict access where reasonably necessary to:
address a security threat;
investigate suspected fraud;
prevent abuse;
comply with law;
respond to non-payment;
protect infrastructure;
enforce these Terms.
Where appropriate and legally required, reasonable notice or an opportunity to remedy will be provided.
27. Termination
Users may stop using Effitrux and cancel subscriptions subject to applicable billing terms.
Effitrux may terminate an account for material or repeated breach, unlawful conduct, fraud, serious security threats or where legally required.
Termination does not extinguish obligations that by their nature survive termination.
28. Data Following Termination
Users are responsible for exporting information they need before account termination where export functionality is available.
Effitrux may delete data after termination subject to applicable law, the Privacy Policy and any DPA.
Any mandatory rights concerning access to or retrieval of qualifying user-created content following termination remain unaffected.
29. Availability
Effitrux aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.
The Service may be unavailable because of:
maintenance;
updates;
infrastructure failure;
Internet failure;
third-party outages;
cyber incidents;
force majeure;
emergency maintenance;
circumstances outside reasonable control.
Unless expressly agreed in a separate written SLA, no guaranteed uptime or service level applies.
30. Backups and Data Loss
Effitrux may maintain backups and resilience mechanisms but does not guarantee that every item of User Content can always be recovered.
Users remain responsible for maintaining independent copies of business-critical records where reasonably necessary.
Effitrux should not be used as the sole legally required archive of invoices, contracts, accounting records or other documents unless expressly confirmed otherwise.
31. Beta, Experimental and New Features
Features identified as beta, preview, experimental or similar may be incomplete, changed or discontinued.
Users should not rely upon experimental functionality for mission-critical activities.
32. Modifications to the Service
Effitrux may develop, improve, modify or discontinue features.
For consumers, modifications to continuously supplied digital services will be made subject to applicable mandatory consumer law.
33. Third-Party Services
Effitrux may depend on third-party platforms and services.
Effitrux is not responsible for third-party services outside its reasonable control and cannot guarantee their continued availability.
Third-party terms may apply independently.
34. Disclaimer of Warranties
To the maximum extent permitted by applicable law, and subject to mandatory consumer rights, the Service is provided on an “as is” and “as available” basis.
Effitrux disclaims warranties not expressly provided by these Terms, including implied warranties to the extent they may lawfully be excluded.
Nothing in this section excludes statutory guarantees or conformity requirements that cannot legally be excluded.
35. Limitation of Liability
To the maximum extent permitted by applicable law, Effitrux shall not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of:
profits;
revenue;
business;
contracts;
customers;
opportunities;
anticipated savings;
goodwill;
reputation;
or data,
arising from or related to use of the Service.
Without limiting the foregoing, Effitrux shall not, to the maximum extent legally permitted, be liable for losses resulting from:
inaccurate user inputs;
reliance on calculations or estimates;
user business decisions;
generated documents not reviewed by the user;
inaccurate third-party data;
fuel or toll information;
route information;
regulatory changes;
user failure to comply with law;
unauthorised account access attributable to the user;
third-party services;
circumstances beyond Effitrux's reasonable control.
Aggregate liability cap
For users acting in the course of a business, trade or profession, and to the maximum extent permitted by applicable law, Effitrux's aggregate liability arising out of or relating to the Service shall not exceed the fees actually paid by the User to Effitrux during the one (1) month immediately preceding the event giving rise to the claim.
For consumers, this limitation applies only to the extent permitted by mandatory applicable law.
Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.
36. User Indemnity — Business Users
To the maximum extent permitted by law, a user acting in the course of a business, trade or profession shall indemnify and hold Effitrux harmless against third-party claims, liabilities, damages, penalties and reasonable costs arising from:
unlawful User Content;
infringement of third-party rights by User Content;
unlawful processing of third-party personal data by the user;
misuse of the Service;
material breach of these Terms;
violation of applicable law by the user.
This provision does not apply to consumers to the extent prohibited by mandatory consumer law.
37. Force Majeure
Effitrux shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
natural disasters;
war;
terrorism;
civil disturbance;
government action;
sanctions;
labour disruption;
power failure;
telecommunications failure;
Internet outage;
cloud-provider outage;
cyberattack;
epidemic;
infrastructure failure.
Mandatory statutory rights remain unaffected.
38. Feedback
If a user voluntarily submits suggestions or feedback concerning Effitrux, Effitrux may use such feedback to develop and improve the Service without obligation to compensate the user, provided that such use does not grant Effitrux ownership of the user's confidential business data.
39. Changes to These Terms
Effitrux may update these Terms for legitimate reasons including:
legal changes;
security;
new functionality;
technical changes;
business-model changes;
clarification.
Material changes will be communicated where required.
Changes will not retroactively remove mandatory rights.
Where consumer law requires notice, consent or a right to terminate following a change, those requirements will apply.
40. Assignment
Business users may not assign their contractual rights or obligations without Effitrux's prior written consent, except where mandatory law provides otherwise.
Effitrux may transfer these Terms in connection with a legitimate corporate restructuring, sale, merger or transfer of the Effitrux business, subject to applicable law and without reducing mandatory consumer rights.
41. Severability
If any provision is found invalid, illegal or unenforceable, that provision shall be applied to the maximum extent legally permissible or severed where necessary.
The remaining provisions remain effective.
42. No Waiver
Failure by Effitrux to enforce a contractual right on one occasion does not constitute a waiver of that right.
43. Entire Agreement
These Terms, together with incorporated policies and any applicable written subscription or data-processing agreement, constitute the agreement concerning use of the Service, subject to mandatory law.
44. Governing Law and Jurisdiction
The intended governing law is the law applicable to the future Effitrux legal operator.
For business users, the parties may agree on exclusive jurisdiction of the courts at the registered seat of the Effitrux operator, to the extent legally permitted.
For consumers, nothing in these Terms deprives the consumer of mandatory protections or jurisdictional rights granted by the law applicable to the consumer.
